1. Introductory provisions
These terms and conditions (the “terms”) govern the rights and obligations between the operator of the service, DR CARS services s.r.o., Holická 117/49a, 77900 Olomouc, Company ID 17677297, VAT ID CZ17677297, Společnost je zapsána v obchodním rejstříku vedeném Krajským soudem v Ostravě, oddíl C, vložka 90816. (the “provider”), and the person ordering a service through the website https://www.dr-files.com (the “customer”).
- A consumer is a customer who orders outside the scope of their business activity. If the customer enters a company ID in the order, they are deemed to act as a business.
- The service may be ordered only by persons aged 18 or over. By submitting an order the customer confirms this.
- These terms form an integral part of every contract concluded through the website. By submitting an order the customer confirms that they have read and agree to them.
2. Subject of the service
- The provider performs software modifications of vehicle ECU data files that the customer has read out and uploaded. The result of the service is a modified data file delivered electronically for download.
- The provider does not read or write the file to the vehicle, makes no physical intervention in the vehicle and does not obtain any approval of the modification for use on public roads.
- Whether a particular modification can be performed depends on the specific ECU and its software version and can only be verified after the file has been received. The provider therefore does not guarantee that the ordered modification can be performed; in such a case section 5 applies.
3. Order and conclusion of the contract
- Orders can be placed only from a customer account with a verified email address (section 11). The customer orders by completing the form on the website, uploading the file, confirming the mandatory declarations (section 6) and paying the price. The contract is concluded when the payment is credited or, for an order fully covered by the welcome offer (section 4), when it is submitted. The customer is notified of the order and payment by email.
- For each order the provider records the time the declarations were confirmed, the version of the terms, the customer's IP address and browser identification as evidence of the conclusion of the contract.
- The provider may refuse an order, in particular if the file cannot be processed, the information is evidently untrue or misuse of the service is suspected. Any price already paid will be refunded.
4. Price and payment
- Prices are stated in the price list on the website including VAT. The price list is shown to registered customers after they log in; registration is free of charge. The price displayed when the order is submitted is decisive. Prices are final and apply to all vehicle types.
- Welcome offer: the first 50 customers who use the offer get one basic modification free of charge in their first order (modifications marked in the price list; Stage 1 and 2, TCU, E85 and IMMO are not included). If several such modifications are selected, the most expensive of them is free. The offer can be used once per person and once per vehicle, and only by a customer who has no paid order yet; the VIN is required for an order with the offer. The provider verifies the entitlement by comparing the VIN, the uploaded file and the account and order details with earlier orders and, with the customer's consent, also technical data about the device (see the Privacy policy). Every order with the offer that has not been cancelled takes up a place; cancelling the order releases it. The offer cannot be exchanged for money. The provider may end the offer or refuse an order in the event of evident misuse (e.g. several accounts of one person); entitlements from orders already accepted remain unaffected.
- Payment is made in advance online via the Stripe payment gateway (card, Apple Pay, Google Pay and other methods) in the currency selected in the order (CZK or EUR). The provider has no access to card details.
- After payment the customer receives a tax document (invoice) by email. The invoice is issued with the details entered in the order; the customer is responsible for their accuracy.
5. Delivery and refunds
- The modified file is usually ready within 1 hours during support hours (Mon–Fri 8:00–16:00); orders placed outside these hours are processed on the next working day. The processing time is indicative and exceeding it does not entitle the customer to a discount.
- The customer is notified of completion by email with a download link. A logged-in customer also has the files available in their account.
- If an ordered modification cannot be performed on the specific ECU, the provider will contact the customer and refund the price paid for that modification or, at the customer's request, the price of the whole order. Refunds are made using the original payment method, usually within 14 days.
- Until processing has started, the customer may cancel the order by email and the price paid will be refunded in full.
6. Customer obligations and declarations
By submitting an order the customer declares and undertakes that:
- they upload a complete, unmodified original file read with a tool in MASTER mode and provide true information about the vehicle and ECU. Files read with a tool in SLAVE mode are encrypted and the provider is unable to process them; such an order is handled under section 5;
- they are the owner of the vehicle or have the owner's consent to the modification, and are at least 18 years old. For immobiliser deactivation (IMMO off) the provider may require proof of vehicle ownership and may refuse the service without it;
- before writing the modified file they keep a backup of the original file, and they write the file themselves or through a qualified person, at their own risk, using a suitable and functioning tool with a stable power supply to the vehicle;
- they acknowledge that modifying the ECU software may void the warranty of the vehicle manufacturer or of its parts, may change the behaviour of the vehicle, may increase the load on the engine, gearbox and other components, and that a vehicle with deactivated emission systems may not meet the requirements for roadworthiness;
- modifications of emission systems (DPF/FAP, OPF/GPF, EGR, AdBlue/SCR, catalyst, O2 sensors, NOx and similar) and other modifications marked as intended for motorsport will be used exclusively for motorsport or off-road purposes outside public roads. The customer is solely responsible for how the vehicle is used, for its roadworthiness and for compliance with the laws of the country in which the vehicle is operated;
- they will use the modified file only for the vehicle stated in the order and will not distribute, sell or provide it to third parties.
7. Withdrawal by a consumer
- The service consists of the supply of digital content not delivered on a tangible medium and made to order according to the customer's specifications. A consumer may withdraw from the contract within 14 days of its conclusion unless the provider has, with the consumer's express consent, begun performance before the end of that period.
- In the order the customer expressly requests that performance begins before the withdrawal period expires and acknowledges that once processing of the file has started, the right of withdrawal is lost (Section 1837(l) of the Czech Civil Code). The order cannot be submitted without this consent.
- Until processing has started, the customer may withdraw from the contract by email without giving a reason and the price paid will be refunded.
8. Defective performance (complaints)
- The service is defective if the modified file does not contain the ordered modifications or cannot be written to the ECU for which it was created from the customer's original file.
- The following in particular are not defects of the service: failure or damage of vehicle hardware, an error during reading or writing of the file, use of an unsuitable, faulty or non-original tool or cable, an unstable power supply during writing, a change in vehicle behaviour resulting from the nature of the ordered modification, loss of the manufacturer's warranty, or the vehicle failing a roadworthiness or emissions test.
- Complaints are made by email to info@dr-files.com stating the order number, a description of the problem and any fault messages. The provider will handle the complaint without undue delay and within 30 days at the latest by correcting the file or refunding the price of the defective modification or of the whole order.
- The provider prefers a quick amicable solution, including a refund. The customer undertakes to contact the provider first before raising a claim with their bank or payment provider.
9. Liability
- The provider supplies a data file only. The provider is not liable for damage caused by incorrect reading or writing of the file, use of an unsuitable tool, a power interruption, the technical condition of the vehicle, failure to follow the writing procedure, operation of the vehicle in breach of the law, or loss of the manufacturer's warranty.
- The provider is not liable for indirect or consequential damage, loss of profit, towing costs, replacement vehicle costs or downtime.
- The provider's total liability for damage arising from one order is limited to the price paid for that order. This limitation does not apply to the extent that it cannot be agreed under applicable law (in particular for damage caused intentionally or by gross negligence and for harm to a person's natural rights).
- If a third party or a public authority raises a claim against the provider in connection with the operation of the customer's vehicle in breach of section 6, the customer will compensate the provider for the resulting loss and costs.
10. Use of files and intellectual property
- The original file remains the property of the customer; the provider uses it solely to perform the ordered service and to prove its performance.
- The modified file is intended only for the vehicle stated in the order. The customer obtains the right to use it for that vehicle and may not copy, distribute, sell, rent or make it available to third parties.
11. Customer account and communication
- Creating an account and verifying the email address is required to view the price list and to place orders. The customer is responsible for protecting their login details and for all actions taken from their account. The account can be deleted at any time in the settings; order and invoice data are retained for the statutory period.
- Communication takes place by email and through messages on the website. The customer must provide a working email address to which confirmations, download links and any questions from the provider are sent.
- These terms are drawn up in Czech and English; in the event of a discrepancy the Czech version prevails. Translations into other languages are for information only.
12. Personal data
The processing of personal data is governed by the Privacy policy. The use of cookies is described in the Cookie policy.
13. Out-of-court dispute resolution
A consumer may lodge a complaint with the Czech Trade Inspection Authority (Česká obchodní inspekce), Ústřední inspektorát – oddělení ADR, Štěpánská 44, 110 00 Prague 1, www.coi.cz, as the body for out-of-court resolution of consumer disputes, or use the online dispute resolution platform at ec.europa.eu/consumers/odr.
14. Final provisions
- Matters not governed by these terms are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, and Act No. 634/1992 Coll., on consumer protection. This is without prejudice to the rights of a consumer under the mandatory laws of the country of their residence.
- The provider may amend these terms. The version in force at the time the order is submitted applies to that order; its version is recorded with the order.
- These terms, version 1.0, are effective from 28 September 2026.
